Website Terms of Use

1. These website terms of use ("these Terms") set out the conditions for browsing and using the MYoACT website and public pages (the "Site") operated by ORGO Inc. ("ORGO").
2. The conditions for using the motion-analysis service MYoACT (the "Service") are set out in the MYoACT Master Service Agreement executed between the customer and ORGO, the MYoACT Service Terms incorporated into that agreement, and its annexed documents (the data processing addendum governing the handling of personal data (the "DPA") and, where applicable, the Business Associate Agreement under the U.S. Health Insurance Portability and Accountability Act ("HIPAA") (the "BAA")). Persons who use the Service under a customer's management ("users") agree to the MYoACT Service Terms upon registering an account, and use the Service in accordance with those Service Terms, that customer's instructions, and that agreement.
3. In case of any inconsistency between these Terms and an individual contract with a customer, the individual contract prevails; provided that, for matters concerning data subjects' rights, any provision of these Terms or the Privacy Notice that is more favorable to the data subject prevails.

ORGO's handling of personal information follows the Privacy Notice, the AI Assistant and Third-Party AI Disclosure, the Cross-Border Transfer Statement, and the Subprocessor List (each published on the Site). These are explanatory documents, and no consent procedure is required to view them. Where consent is required by law for particular processing, consent is obtained individually on the relevant screens and procedures.

In using the Site and the Service, the following acts are prohibited.

1. Unauthorized access, attacks, overloading, vulnerability probing, or any other act that obstructs the operation of the Site or the Service.
2. Unauthorized reproduction, modification, or redistribution of the Site's content, or any other act that infringes the intellectual property rights of ORGO or any third party.
3. Acts that violate applicable laws or public order and morals.
4. Entering, transmitting, or uploading to the Service information (including Protected Health Information ("PHI") under HIPAA) that is not permitted under the contract (including the BAA) between the user's customer organization and ORGO.

The software, models, algorithms, UI, designs, documentation, trademarks, and other intellectual property relating to the Site and the Service belong to ORGO or to third parties that license rights to ORGO.

1. ORGO does not warrant the completeness, accuracy, or currency of the information on the Site.
2. The analysis examples and reference values posted on the Site are reference information based on objective measurements of movement and are not a substitute for medical diagnosis, treatment recommendations, or medical judgment.
3. The terms, quality, and liability for the provision of the Service are set out in the individual contract with the customer.

When ORGO amends these Terms, it will publish the amended content and its effective date on the Site. Use of the Site on or after the effective date constitutes agreement to the amended Terms.

These Terms are governed by the laws of Japan, and the Sapporo District Court has exclusive jurisdiction in the first instance over any dispute concerning these Terms. Where an individual contract with a customer provides otherwise, that contract prevails for disputes arising under it.

The Japanese version of these Terms is authoritative and prevails in case of any inconsistency with a translation.
